Best Dam Tape – Wholesale Sales Terms & Conditions
1. Minimum Order Quantities (MOQs): Retail partners must meet product-specific minimum order quantities (MOQs) as outlined in our current wholesale pricing guide. Orders below MOQ may be accepted at adjusted pricing or subject to handling fees.
2. Pricing & Payment Terms: All prices are quoted in U.S. dollars and are subject to change with 30 days’ notice. Payment terms are net 30 unless otherwise agreed in writing. A 2% monthly finance charge may apply to overdue invoices. Bulk discounts apply based on volume tiers outlined in our pricing sheet.
3. Shipping & Delivery: All shipments are FOB (Freight on Board) from our designated warehouse. Risk of loss or damage transfers to the buyer upon carrier pickup. Best Dam Tape is not responsible for shipping delays caused by carriers, natural events, or supply chain disruptions.
4. Product Description & Intended Use: Best Dam Tape products—including clear shin pad tape, cloth stick tape, beeswax stick wax, grip tape, and future sport-specific or retail tape lines (e.g., freezer tape, masking tape)—are designed for athletic and specialty use. Products must be stored in a cool, dry environment away from direct sunlight and used only as intended.
5. Product Claims & Performance: All product descriptions are based on internal testing and user feedback under standard conditions. Actual performance may vary depending on use, application surface, and environmental conditions. Best Dam Tape makes no express or implied warranties regarding performance, durability, or suitability for any particular purpose.
6. Returns, Damages & Shortages: Retailers must inspect deliveries within 5 business days of receipt. Claims for damaged, missing, or defective items must be submitted in writing with photo evidence. Approved returns will be issued as credit or replacement product. Unauthorized returns will not be accepted or credited.
7. MAP (Minimum Advertised Price) Policy: Retailers must adhere to our Minimum Advertised Price (MAP) policy as provided in writing. Repeated violations may result in order cancellation, account review, or termination of the retail relationship.
8. Use of Branding & Marketing Assets: Retail partners may use Best Dam Tape logos, images, product descriptions, and marketing assets in accordance with provided brand guidelines. Unauthorized or misleading use of the brand is grounds for immediate termination of agreement.
9. No Warranty or Guarantee: Best Dam Tape disclaims all express or implied warranties, including but not limited to merchantability or fitness for a particular purpose. No employee or representative is authorized to make any warranty or representation not expressly stated herein.
10. Product Shelf Life & Rotation: Retailers are responsible for proper storage and rotation of inventory to ensure sell-through. Best Dam Tape is not responsible for expired, unsold, or unsellable product due to improper storage or merchandising.
11. Termination of Agreement: Either party may terminate this agreement with 30 days’ written notice. Best Dam Tape reserves the right to terminate immediately for breach of terms, brand misrepresentation, or MAP violations.
12. Governing Law: These terms and any associated transactions are governed by the laws of the State of Ohio. Any disputes arising under these terms shall be subject to jurisdiction in Ohio courts.
